BEFORE: L. Kelsey, Commissioner April 7, 2005 O R D E R WHEREAS: A. British Columbia Hydro and Power Authority (“BC Hydro”) and British Columbia Transmission Corporation (“BCTC”) applied on March 24, 2005, pursuant to Sections 60 and 61 of the Utilities Commission Act for the following: Approval of the assignment to BCTC from BC Hydro, pursuant to the Assignment and Assumption Agreement attached as Appendix C of the General Wheeling Agreement dated October 15, 1986, as amended pursuant to the General Wheeling Amending Agreement (2002) dated December 13, 2002, and the General Wheeling Amending Agreement (2004) dated April 5, 2004 (collectively, the GWA”) between BC Hydro and FortisBC Inc. (“FortisBC”), formerly West Kootenay Power and Light Company, attached as Appendix A and currently on file with the Commission as BC Hydro Electric Tariff Supplement No. 3; Approval of a new BCTC Rate Schedule 21 for services under the GWA, attached as Appendix B, and withdrawal of BC Hydro Rate Schedule 3817; Approval of the Letter Agreement between BCTC and FortisBC in respect of rate harmonization, a fully executed copy of which is attached as Appendix D; Approval of the Power Purchase Agreement Amending Agreement (2005) between BC Hydro and FortisBC, an unexecuted copy of which is attached as Appendix E; Interim approval of all of the foregoing effective April 1, 2005, in the event a final determination cannot be made by then; and

BC Hydro and BCTC have filed with the Commission, the executed Agreements with FortisBC for the General Wheeling Amending Agreement (2004) (BC Hydro Tariff Supplement No. 2), the Assignment and Assumption Agreement regarding General Wheeling Agreement, the Letter Agreement regarding rate harmonization issues, dated March 21, 2005 entitled October 1993 Power Purchase Agreement between FortisBC and BC Hydro”, and the Power Purchase Amending Agreement (2005); and C. BCTC has filed a new Rate Schedule 21 to replace to previous Rate Schedule 3817; and D. The Commission has considered the above Application and finds it in the public interest to approve the Application. NOW THEREFORE the Commission orders as follows: 1. The assignment of the General Wheeling Agreement, the General Wheeling Amending Agreement (2002) and the General Wheeling Amending Agreement (2004) from BC Hydro to BCTC is approved by approval of the Assignment Assumption Agreement. 2. BCTC Rate Schedule 21 is approved, effective April 1, 2005. 3. BC Hydro Rate Schedule 3817 is approved to be cancelled, effective April 1, 2005. 4. The Letter Agreement regarding Rate Harmonization Issues, between BCTC and FortisBC dated March 21, 2005 is approved, effective April 1, 2005. 5. The Power Purchase Amending Agreement (2005) between BC Hydro and FortisBC, dated April 1, 2005, is approved, effective April 1,2005.
