ORDER

WHEREAS:

 

A.      On August 5, 2025, Creative Energy Thompson Rivers Limited Partnership (CE Thompson Rivers), by its general partner Creative Energy Thompson Rivers GP Ltd. (CE Thompson Rivers GP), filed an application (Application) with the British Columbia Utilities Commission (BCUC) for approval of, among other things:

                     i.            Creative Energy Building Retrofits Limited Partnership (CE Building Retrofits) acquiring a reviewable interest in CE Thompson Rivers, pursuant to section 54 of the Utilities Commission Act (UCA);

                   ii.            CE Thompson Rivers registering on its books the transfer of all of its partnership units from Creative Energy Ventures Limited Partnership to CE Building Retrofits, pursuant to section 54 of the UCA; and

                 iii.            CE Thompson Rivers entering into a security agreement with Canada Infrastructure Bank (CIB), pursuant to section 52 of the UCA, in respect of the obligations of CE Building Retrofits (as borrower) to CIB (as lender) under a credit agreement among these parties and Creative Energy Building Retrofits GP Ltd. dated April 25, 2025;

B.      By Order G-213-25 dated August 29, 2025, the BCUC established a regulatory timetable for the proceeding, which included public notice, BCUC information requests (IRs), letters of comment, and CE Thompson Rivers final argument and reply to letters of comment;

C.      During the proceeding, CE Thompson Rivers filed certain information with the BCUC for which it requested confidential treatment;

D.      On October 3, 2025, the BCUC issued Order G-242-25 and an accompanying decision (Decision) that, among other things, directed CR Thompson Rivers to file written submissions with respect to the confidentiality of information contained in Order G-242-25 and the Decision;

E.       On October 15, 2025, CE Thompson Rivers filed a submission regarding confidentiality. In its submission, CE Thompson Rivers submits if the BCUC considers denying its request for confidential treatment, the BCUC should provide CIB with an opportunity to file additional submissions regarding confidentiality before publicly disclosing Order G-242-25 and the Decision; and

F.       The BCUC has reviewed CE Thompson Rivers’s submission regarding confidentiality and considers the following determinations to be warranted.

 

NOW THEREFORE the BCUC orders as follows:

 

1.       CE Thompson Rivers is directed to provide a copy of this order, including the confidential Appendix A attached to this order, as well as an unredacted version of Order G-242-25 and the Decision to CIB by Friday, November 7, 2025.

2.       CE Thompson Rivers is directed to provide written confirmation to the BCUC of compliance with Directive 1 of this order, including a copy of the relevant correspondence sent by CE Thompson Rivers to CIB, by Monday, November 10, 2025.

3.       CE Thompson Rivers is directed to file with the BCUC written submissions in response to all of the questions enclosed in the confidential Appendix A, by Tuesday, November 18, 2025.

4.       CIB may file with the BCUC written submissions regarding the confidentiality of Order G-242-25 and the Decision, including responses to the questions enclosed in the confidential Appendix A, by Tuesday, November 18, 2025.
